1. Agreement to Terms

These Terms of Service ("Terms") constitute a binding legal agreement between you and 1984 Ventures ("we," "us," or "our") governing your access to and use of our applications at apply.1984.vc and portfolio.1984.vc (the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration and Authentication

3.1 Google OAuth

You must authenticate using your Google account to access the Services. You are responsible for maintaining the security of your Google account.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

3.3 Account Security

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

4. Permitted Use

4.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purposes:

  • Limited Partners (LPs): Portfolio tracking, investment management, and capital call activities
  • Founders: Fundraising applications, pitch submissions, and funding requests

4.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Services or related systems
  • Interfere with or disrupt the Services or servers
  • Use automated systems (bots, scrapers) without authorization
  • Impersonate others or misrepresent your affiliation
  • Submit false, misleading, or fraudulent information

5. User Content

5.1 Your Content

You retain ownership of all materials you submit to the Services, including pitch decks, funding requests, capital call data, and other documents ("User Content").

5.2 License to Us

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely to provide and improve the Services.

5.3 Responsibility

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to submit the content
  • Your content does not violate any laws or third-party rights
  • Your content is accurate and not fraudulent or misleading

5.4 Retention

We retain User Content indefinitely to maintain historical records of applications, investments, and portfolio activities.

6. Intellectual Property

6.1 Our Rights

The Services, including all software, designs, text, graphics, logos, and other content (excluding User Content), are owned by 1984 Ventures and protected by intellectual property laws.

6.2 Restrictions

You may not copy, modify, distribute, sell, or create derivative works from the Services or our content without express written permission.

7. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

8. Third-Party Services

The Services use Google OAuth for authentication. Your use of Google services is governed by Google's terms and policies. We are not responsible for third-party services or their terms.

9. Disclaimers

9.1 No Investment Advice

The Services are provided for informational and transactional purposes only. Nothing in the Services constitutes investment advice, financial advice, or a recommendation to invest. You should consult with qualified professionals before making investment decisions.

9.2 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION.

9.3 No Guarantee

We do not guarantee:

  • Funding success for applications submitted through the Services
  • Accuracy, completeness, or timeliness of information
  • Continuous, uninterrupted, or secure access to the Services
  • Freedom from errors, bugs, or technical issues

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1984 VENTURES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION
  • DAMAGES ARISING FROM USE OR INABILITY TO USE THE SERVICES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless 1984 Ventures and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights

12. Term and Termination

12.1 Term

These Terms remain in effect while you use the Services.

12.2 Termination by You

You may stop using the Services at any time.

12.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Risk to the Services or other users
  • Business or legal reasons

12.4 Effect of Termination

Upon termination:

  • Your license to use the Services immediately ends
  • We may delete your account and User Content (subject to our retention policies)
  • Sections that by their nature should survive termination will remain in effect

13. Dispute Resolution and Arbitration

13.1 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

13.2 Arbitration Rules

  • The arbitration shall be conducted in San Francisco, California
  • The arbitration shall be conducted by a single arbitrator
  • The arbitrator's decision shall be final and binding
  • Each party shall bear its own costs and fees
  • You waive any right to a jury trial or to participate in a class action

13.3 Exceptions

Either party may seek injunctive relief in court for:

  • Intellectual property disputes
  • Unauthorized access or data breaches
  • Enforcement of arbitration provisions

13.4 Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

14. General Provisions

14.1 Modifications

We may modify these Terms at any time by posting updated Terms on the Services. Your continued use after modifications constitutes acceptance of the updated Terms. Material changes will be notified via email or prominent notice on the Services.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and 1984 Ventures regarding the Services.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

14.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

14.7 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
